1. Agreement to Terms
By accessing or using the Janix Event Suite platform ("Platform" or "Services") operated by Janix, Inc. ("Janix," "we," "our," or "us"), a Texas corporation, including purchasing tickets, registering for events, or creating an account, you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
These Terms constitute a legally binding agreement between you and Janix. Please read them carefully.
2. Description of Services
Janix operates a multi-tenant technology platform that enables arts organizations, festivals, and event producers ("Event Organizers") to sell tickets, manage check-ins, and engage with their audiences.
Janix is a technology platform, not an event organizer or ticket seller. Janix provides the software infrastructure through which Event Organizers list, market, and sell tickets to their own events. Janix does not organize, produce, or control any events listed on the Platform.
Our Services include:
- Technology infrastructure for online ticket sales and digital ticket delivery
- User account management and authentication
- Event registration and QR-based check-in tools
- Audience relationship management tools for Event Organizers
- Payment processing facilitation via Stripe
3. Tri-Party Relationship
When you purchase a ticket through our Platform, you are entering into three distinct relationships:
- You and the Event Organizer: Your ticket purchase creates a contractual relationship directly between you and the Event Organizer. The Event Organizer is the seller of the ticket and the party responsible for delivering the event experience.
- You and Janix: Janix provides you with a user account, authentication services, digital ticket delivery, and access to the Platform. Janix is not a party to the ticket sale transaction between you and the Event Organizer.
- You and Stripe: Payment processing is handled by Stripe, Inc. Your payment is processed directly to the Event Organizer's Stripe account. By making a purchase, you also agree to Stripe's Terms of Service.
Janix is not the merchant of record for ticket purchases. When you buy a ticket, your payment goes directly to the Event Organizer via Stripe. Janix receives a platform service fee from the Event Organizer for use of the technology. Janix does not hold, control, or have custody of your ticket payment funds.
4. Eligibility
You must be at least 18 years of age to make purchases through the Platform. You may browse the Platform and create an account if you are at least 13 years of age, but ticket purchases require that you are 18 or older, or that a parent or legal guardian completes the transaction on your behalf.
By using our Services, you represent and warrant that you meet these age requirements and have the legal capacity to enter into a binding agreement.
5. User Accounts
Account Creation
To purchase tickets or register for events, you must create an account. We use passwordless authentication via email magic links for your security and convenience. Your account is personal to you and is tied to your email address.
Account Responsibility
You are responsible for:
- Providing accurate and current information (name, email address)
- Maintaining access to your registered email address, which serves as your sole authentication method
- All activities that occur under your account, including ticket purchases
- Notifying us promptly at support@janix.ai if you believe your account has been compromised
6. Ticket Purchases and Payments
Payment Processing
All payments are processed securely through Stripe. Your payment is charged directly to the Event Organizer's connected Stripe account. The ticket price displayed at checkout is the total amount you will be charged and includes all applicable platform fees.
Platform Fee
A platform service fee is included in the ticket price to support the operation and development of the Platform. This fee is paid by the Event Organizer to Janix from the ticket proceeds. The price you see at checkout is the total price you pay; no additional fees are added after checkout.
Refunds and Cancellations
Refund policies are set by each Event Organizer, not by Janix. Because your ticket purchase is a transaction between you and the Event Organizer, refund requests must be directed to the Event Organizer. Janix does not control and is not responsible for Event Organizer refund decisions. If an event is cancelled, the Event Organizer is responsible for communicating with ticket holders and processing any applicable refunds through their payment account.
Chargebacks and Disputes
If you initiate a payment dispute or chargeback with your bank or credit card company, please also contact the Event Organizer and Janix at support@janix.ai so we can help resolve the issue. Janix reserves the right to suspend accounts associated with fraudulent chargeback activity.
Ticket Delivery
Upon successful purchase, you will receive a confirmation email with your digital ticket(s) containing a QR code for event check-in. It is your responsibility to ensure you can access your tickets for the event. Janix is not responsible for tickets lost due to inability to access your registered email address.
7. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Attempt to gain unauthorized access to our systems, networks, or other users' accounts
- Resell, scalp, or transfer tickets in violation of the Event Organizer's policies or applicable law
- Provide false, misleading, or fraudulent information
- Interfere with or disrupt the Services, servers, or networks connected to the Services
- Use automated systems, bots, or scripts to access the Services or purchase tickets
- Harass, abuse, threaten, or harm other users, event staff, or Janix personnel
- Circumvent or attempt to circumvent any security features of the Platform
- Use the Platform to send unsolicited communications or spam
8. Event Organizer Relationship
Janix provides the technology platform; individual events are organized, produced, and managed by independent Event Organizers. Janix has no control over and makes no representations or warranties regarding:
- Event content, quality, scheduling, or execution
- Event-specific policies (e.g., age restrictions, accessibility accommodations, dress codes)
- The accuracy of event descriptions, images, or other information provided by Event Organizers
- Event changes, postponements, or cancellations
- The Event Organizer's handling of refunds or customer service
- The safety, legality, or suitability of any event
Any disputes regarding the event itself, including requests for refunds, should be directed to the Event Organizer.
9. Intellectual Property
The Janix platform, including its software, design, features, logos, and documentation, is owned by Janix, Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or reverse engineer any part of our Services without prior written permission from Janix.
Event content (descriptions, images, logos) displayed on the Platform remains the intellectual property of the respective Event Organizers.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Janix does not warrant that:
- The Services will be uninterrupted, timely, secure, or error-free
- Events will occur as scheduled or meet your expectations
- Information provided by Event Organizers is accurate, complete, or current
- Defects in the Services will be corrected
- The Services will be compatible with all devices or browsers
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JANIX, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO:
- Your use of or inability to use the Services
- Event cancellations, changes, postponements, or quality
- Actions, omissions, or policies of Event Organizers
- Unauthorized access to or alteration of your account or data
- Any third-party conduct on or related to the Services
- Payment processing issues handled by Stripe
JANIX'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF PLATFORM FEES ATTRIBUTABLE TO YOUR TRANSACTIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Janix, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services or violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights
- Any content or information you provide through the Services
- Any dispute between you and an Event Organizer
13. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact Janix at legal@janix.ai and attempt to resolve the dispute informally for at least thirty (30) days.
Binding Arbitration
If we cannot resolve a dispute informally, you and Janix agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (except as set forth below) shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Travis County, Texas, or at another mutually agreed location. The arbitrator's decision shall be final and binding.
Class Action Waiver
YOU AND JANIX AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Exceptions to Arbitration
Either party may bring a claim in small claims court in Travis County, Texas, if the claim qualifies. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
Opt-Out
You may opt out of this arbitration provision by sending written notice to legal@janix.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
14. Force Majeure
Janix shall not be liable for any failure or delay in performing its obligations under these Terms caused by circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, epidemics, government actions or orders, acts of terrorism, war, civil unrest, power outages, internet or telecommunications failures, cyberattacks, or failures of third-party service providers (including Stripe, AWS, or other infrastructure providers).
15. Account Suspension and Termination
We reserve the right to suspend or terminate your account, with or without notice, if you:
- Violate these Terms or any applicable law
- Engage in fraudulent, abusive, or suspicious activity
- Initiate excessive or fraudulent chargebacks
- Harass other users or Janix personnel
We may also suspend accounts that have been inactive for an extended period. Upon termination, your right to access the Services will cease immediately. Sections 10 through 13 and 16 through 20 shall survive termination.
16. Privacy
Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, share, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.
17. Changes to Terms
We may update these Terms from time to time. The version date at the top indicates when the Terms were last revised. For material changes, we will provide notice by email to the address associated with your account or by posting a prominent notice on the Platform at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Subject to the arbitration provision in Section 13, any legal proceedings shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of such courts.
19. General Provisions
Entire Agreement
These Terms, together with the Privacy Policy and any additional terms presented at the time of purchase, constitute the entire agreement between you and Janix regarding your use of the Services and supersede all prior agreements, understandings, and communications.
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver
The failure of Janix to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Janix.
Assignment
You may not assign or transfer these Terms or your rights under them without Janix's prior written consent. Janix may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.
Notices
Janix may provide notices to you via email to the address associated with your account, through the Platform, or by other reasonable means. You may provide notices to Janix at legal@janix.ai.
